StrydeHR - HRMS Platform
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Client,” or “Customer”) and Digibytetechnologies Pvt Ltd (“Company,” “We,” “Us,” or “Our”), a company registered in Tamil Nadu, Coimbatore, India.
By accessing, registering, or using StrydeHR (“Platform”), including our website at www.strydehr.com, www.digibytetechnologies.com, and our mobile HR application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
These Terms apply to all users of StrydeHR, including but not limited to Administrators, HR Personnel, Employees, Managers, and any other authorized or unauthorized users accessing the Platform.
3.1 Age & Legal Capacity
You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Platform. By registering, you confirm that you are of legal age and have the capacity to enter into binding contracts.
3.2 Account Registration
To use the Platform, you must create an Account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your Account. You agree to notify the Company immediately of any unauthorized access or breach of security.
3.3 Organization Authorization
If you are registering on behalf of an organization or company, you represent and warrant that you have the authority to bind that organization to these Terms and that the organization agrees to be bound by these Terms.
3.4 User Role Assignment
The Company may assign User Roles (Admin, HR, Employees, Managers, or other roles) based on organizational structure and permissions. Each User Role has specific access levels and functionalities. You agree to use only the features and access levels granted to your assigned role.

The Company reserves the right to modify, suspend, or discontinue any feature or service at any time, with or without notice. The Company will make reasonable efforts to provide advance notice of significant changes.
You agree that you will NOT, and will not permit or assist others to:

6.1 Company Ownership
The Platform, including all software, code, design, graphics, content, and functionality, is the exclusive intellectual property of Digibytetechnologies Pvt Ltd and is protected by copyright, trademark, and other intellectual property laws applicable in India and worldwide.
6.2 Limited License
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business purposes. This license does not include any right to modify, copy, distribute, sublicense, or create derivative works.
6.3 User Content Ownership
You retain ownership of the Content you upload or enter into the Platform (such as employee data, documents, onboarding records). However, by uploading Content, you grant the Company a worldwide, royalty-free, non-exclusive license to use, store, process, and transmit such Content solely to provide the Platform and improve our services.
6.4 No Other Rights
No other rights are granted, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved to the Company.

The Platform operates on a Freemium model, offering:
7.2 Subscription Plans
The Company offers monthly and yearly subscription billing cycles. Pricing, features, and limitations for each plan are displayed on the Platform’s website. The Company reserves the right to change pricing with 30 days’ written notice, with changes effective upon renewal of your subscription.
7.3 Payment Processing
All payments are processed through Razorpay, a third-party payment gateway. By making a payment, you authorize Razorpay to collect and process your payment information in accordance with their terms and privacy policies. The Company is not responsible for any payment processing errors or issues arising from the payment gateway.
7.4 Billing & Invoicing
7.5 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You are responsible for managing your subscription and cancellation preferences through your Account settings.
7.6 No Refunds Policy
Once payment is made, no refunds will be issued. This policy applies to all circumstances, including but not limited to:
Exceptions to this no-refund policy are subject to applicable laws and regulations. If you believe you are entitled to an exception, please contact our support team at info@strydehr.com with supporting documentation.
7.7 Failed Payments
If a payment fails or is declined, your subscription may be suspended or terminated. The Company is not responsible for service interruptions resulting from payment failures. You are responsible for maintaining valid payment information.
7.8 Payment Information Security
The Company does not store or process credit card or payment information directly. All payment data is handled exclusively by Razorpay. Refer to Razorpay’s privacy policy and security standards for information on how your payment data is protected.

You may terminate your Account at any time by submitting a termination request through your Account settings or by contacting info@strydehr.com. Your data will be retained for 90 days following termination, after which it will be permanently deleted.
8.6 Effect of Termination on Payments
Termination does not refund any payments already made. You remain responsible for payment up to the date of termination or the end of your current billing cycle, whichever is later.
9.1 User Responsibility for Data Accuracy
The Company is not responsible for any incorrect, inaccurate, incomplete, or erroneous data entered, uploaded, or maintained by you or other users within the Platform. You acknowledge that data accuracy is dependent on the information you provide.
9.2 Data Correction Assistance
The Company will make reasonable efforts to assist you in correcting inaccurate data upon your request. Such assistance may include:
However, the Company cannot guarantee the correction of all data issues and assumes no liability for data inaccuracies originating from user input.
9.3 Standard Liability Limitation
To the maximum extent permitted by applicable Indian law, the Company’s total liability to you for any and all claims arising out of or related to these Terms, the Platform, or your use thereof shall not exceed the total amount you have paid to the Company in the 12 months preceding the claim.
9.4 Exclusion of Certain Damages
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR:

9.5 No Warranty
The Platform is provided on an “AS-IS” and “AS-AVAILABLE” basis. The Company disclaims all warranties, express or implied, including:
The Company does not warrant that the Platform will meet your requirements or that defects will be corrected.
10.1 Your Data Ownership
You retain full ownership of all Content (employee records, documents, onboarding information, etc.) you upload to the Platform. The Company claims no ownership rights over your Content.
10.2 License to Company
By uploading Content to the Platform, you grant Digibytetechnologies Pvt Ltd a worldwide, royalty-free, non-exclusive, perpetual license to:
10.3 Content Deletion
You may delete your Content at any time through the Platform. Deleted Content will be removed from active systems but may be retained in backups for up to 90 days for disaster recovery and compliance purposes.
11.1 Payment Gateway Integration
The Platform integrates with Razorpay for payment processing. Your use of Razorpay is subject to their terms of service and privacy policy. The Company is not responsible for:
11.2 Cloud Hosting & Storage
The Platform is hosted and data is stored on Amazon Web Services (AWS). Your data storage and processing are subject to AWS’s terms and security policies. AWS is a third-party provider, and the Company is not liable for AWS-related issues, outages, or data breaches.
11.3 Third-Party Links & Content
The Platform may contain links to third-party websites or services. The Company does not endorse, control, or assume responsibility for such third-party content. Your use of third-party services is governed by their respective terms and policies.
11.4 No Endorsement
The Company’s integration of third-party services does not constitute an endorsement or warranty of such services.
12.1 Right to Modify
The Company reserves the right to modify these Terms at any time. Modifications become effective immediately upon posting to the Platform.
12.2 Notice of Changes
The Company will provide reasonable notice (at least 30 days) of material changes to these Terms via:
12.3 Acceptance of Modified Terms
Your continued use of the Platform following the posting of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Platform and terminate your Account.

Changes to these Terms are effective as of the date specified in the modification notice. Your continued use indicates acceptance.

The Platform provides HRMS functionality to the best of the Company’s ability. However, the Company does not guarantee:

You assume all risk associated with your use of the Platform and your reliance on any information or services provided. This includes risks related to:
13.3 Entire Liability Allocation
The limitations in Section 9 represent the entire liability allocation between you and the Company regarding the Platform.
You agree to defend, indemnify, and hold harmless Digibytetechnologies Pvt Ltd, its officers, directors, employees, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from:
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, specifically the laws of the State of Tamil Nadu, without regard to conflict of law principles.
15.2 Jurisdiction & Venue
You irrevocably submit to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India. Both parties agree that Coimbatore courts have jurisdiction over all disputes, claims, or controversies arising from these Terms and your use of the Platform.
15.3 Dispute Resolution
Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes will be resolved through arbitration or litigation in Coimbatore courts as permitted by Indian law.

Response times may vary based on the nature of your inquiry. The Company will attempt to respond to all inquiries within 5–7 business days.
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions will remain in full force and effect.
17.3 No Waiver
The Company’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it in the future.
17.4 Assignment
You may not assign or transfer your rights under these Terms without the Company’s prior written consent. The Company may assign its rights and obligations at any time without notice.
17.5 Notices
Any legal notices or communications must be submitted in writing to the address or email provided in Section 16. Notices are deemed received 5 days after mailing or immediately upon email delivery.
17.6 Survival
Provisions that by their nature should survive termination (such as Intellectual Property Rights, Limitation of Liability, Indemnification, and Governing Law) will remain in effect after termination of your Account.
You agree to use the Platform in compliance with all applicable Indian laws, regulations, and industry standards, including but not limited to:
The Company reserves the right to comply with legal requests and law enforcement inquiries as required by Indian law.
By accessing or using the StrydeHR Platform, you acknowledge that you have read, understood, and agree to be bound by all provisions of these Terms & Conditions. If you do not agree, do not use the Platform.
